We at Skillbez India Pvt Ltd strive to ensure that our Users have a conducive learning and teaching environment, which includes interactions between the Users to allow the flow of knowledge and exchange of ideas.

Keeping the interactive nature of the Platform in mind it is essential to ensure that the Platform is not misused in anyway that would warrant any User having a less than amazing experience and following the guidelines we have given below would be a great way to do that. You as a User may come cross content that you feel is inappropriate, and we have provided means by which you can report or flag such content, but do keep in mind that the reporting option should be used judiciously and if you have any doubts, i.e. if the content is inappropriate please go through the guidelines to make an informed decision.

Additionally, these guidelines are to be read along with all the other policies on the Skillbez India Pvt Ltd platform including but not limited to our Terms and Conditions and Privacy Policy.

1. Guidelines for acts and content that are prohibited

Harmful or dangerous content: We at Skillbez India Pvt Ltd believe the Platform is a safe space for learners and educators alike and would like your help in ensuring that it remains so. Keeping this in mind any content which incites or promotes violence that may cause physical or emotional harm or endanger the safety of any individual is expressly prohibited on the Platform. Content that requires references to harmful or dangerous acts solely for educational purposes are allowed. The sale and promotion of any regulated or illegal goods is not allowed. The Platform is to be used only for the permitted uses as detailed under the Terms and Conditions.

Hateful content: We realise that there may be instances when there are exchange of ideas and opinions which is essential in the learning process, while we agree that individuals have the right to voice their opinion, we do not encourage or tolerate any hate speech. Hate speech is any content where the sole objective is inciting hatred against specific individuals or groups with respect to but not limited to race or ethnic origin, country caste, religion, disability, gender, age, sexual orientation/gender identity etc.

Violent and graphic content: Skillbez India Pvt Ltd is an educational Platform and the content uploaded is restricted to educational content alone, content that is violent or graphic is prohibited. You are requested to ensure that if there are references being made to violent or graphic situations of instances, it should solely be for education purposes. Content whose sole objective is to sensationalise, shock or disturb individuals is not allowed. Skillbez India Pvt Ltd does not allow any content related to terrorism, such as content that promotes terrorist acts or incites violence, is not to be uploaded on the Platform in any manner.

Harassment and bullying: Skillbez India Pvt Ltd Platform is used by many users on a daily basis and it is important to be respectful and kind to your fellow users, we do not tolerate any form of harassment or bullying on the Platform and strive to keep the Platform a safe space to foster learning. Harassment in this case would include but not be limited to abusive videos, comments, messages, revealing someone’s personal information, including sensitive personally identifiable information of individuals, content or comments uploaded in order to humiliate someone, sexual harassment or sexual bullying in any form.

Spam: Posting untargeted, unwanted and repetitive content in lessons, comments of messages with an intention to spam the Platform and to drive traffic from the Platform to other third-party sites is in direct violation of our Terms and Conditions. Posting links to external websites with malware and other prohibited sites is not allowed. The use or launch of any automated system in any manner that sends more request messages to Skillbez India Pvt Ltd’s servers in a given period of time that is more than a human can reasonably produce using a conventional on-line web browser is prohibited and you can take a look at our Terms and Conditions for more details on the same including exceptions to this prohibition to public search engines.

Misleading metadata: Misuse of title, description, tags, thumbnail and bios and other features which constitutes the Metadata on the Platform is not allowed. Using these features to trick or circumvent our search algorithms is prohibited

Scams: Any content uploaded/posted in order to trick others for their own financial gain is not allowed and we at Skillbez India Pvt Ltd do not tolerate any practices of extortion or blackmail either.

Copyright:Please refer to our copyright policy provided in our Terms and Conditions to know more about proprietary information relating to User Content and Skillbez India Pvt Ltd Content.

Privacy violation: Kindly refer to our Privacy Policy given here to know how to protect your privacy and respect the privacy of other users. If you believe that your privacy has been violated is any manner where a user has knowingly or unknowingly disclosed any information on the Platform be sure to reach out to the User and if that is not possible, please feel free to approach us at anytime so we can take the necessary steps to remove the content.

Impersonation: Impersonating another person is not permitted while using the Skillbez India Pvt Ltd Platform. In this case impersonation would mean the intention to cause confusion regarding who the real person is by pretending to be them. This can be done by means of using names, image, documents, certificates etc. not belonging to you or not used to identify you. Pretending to be a company, institute, group etc.by using their logo, brand name or any distinguishing mark would also amount to impersonation and could also be a potential trademark infringement.

Interaction with Skillbez India Pvt Ltd: At Skillbez India Pvt Ltd offices we treat each other with respect and have a healthy and supportive work environment. We believe in hands on interaction with our users to help them navigate and gain the maximum benefit from the platform. Should you find yourselves interacting with any person from Skillbez India Pvt Ltd please ensure that you maintain the same decorum you would while using this Platform. We do not encourage any communication with Skillbez India Pvt Ltd employee of staff that is hateful, abusive or sexually suggestive in any manner.

2. Reporting tools

We have reporting tools available on the platform where you can report any content that you believe falls under the ambit of any of the prohibited acts, violative of any intellectual property rights or spam. The report option is made available for the videos as well as the comments, please ensure that you are certain that there is an issue before you report and do not make false complaints or allegations. You can write to us at ___________________ for any additional support, but to ensure that the Platform remains a safe learning space we suggest you use the in-built reporting tools made available.

Tips on Do’s & Don’ts: Here are a few tips from us on how to use the platform in a safe manner:

A. Keeping yourself and your account safe

Keep your log-in credentials a secret and do not reveal your password or ID to anyone.

Create a strong password to ensure that your account is not compromised, here are some tips to ensure that your password is strong:

Your password should be at least eight characters in length, combine numbers and letters, and not include commonly used words.

Select a word or acronym and insert numbers between some of the letters.

Include Special characters.

Mix capital and lowercase letters.

Don't reuse passwords associated with any other type of account.

Log out of all devices to ensure that your log-in credentials are secure.

Register with our phone number in order to ensure you have a back up in case you forget your login details.

Do not reveal any personal information about yourself to anyone online, additionally do not meet someone you have a conversation with online in person, this could be a potentially dangerous act and you might be compromising your safety.

If you are below the age of 18, and want to use the platform, a parent or guardian can create an account on your behalf. Persons below the age of 18 are not allowed to have individual account without the consent of a parent or guardian.

B. Reporting Content

If you have content on your profile or video that would confuse persons as to who the video or content belongs to or leads users to believe that you have been endorsed or sponsored by another person, then the trademark of such person might have been infringed. If we receive any complaints or reports regarding the same, we may remove the content, if supported with relevant evidence.

If you are a trademark or copyright owner and believe that your intellectual property right is being infringed, please note that you have the option of reporting the same. However, Skillbez India Pvt Ltd is not at a position where they can mediate such disputes and we disclaim any liability for the same. If we receive an infringement complaint that is genuine, we may remove the content in question and serve a warning to the alleged infringer. We also suggest that before reporting the issue, both parties try to solve the disputes directly with the user who posted the content.

If you see any content that you feel is inappropriate and violates the guidelines given here, please report the content.

If you encounter a video that you believe violates the privacy of an individual or violates your privacy, please report the same, we shall initiate action accordingly as we have a strict privacy policy. If you report any content for violation of privacy, the content will be removed only if the information, images or date is clearly identifiable.

In the event a fellow user harasses you or you believe that someone is being harassed on the platform you can report the user or content. You may even write to us at _______________ for any further help or assistance.

C. Posting Content

When posting videos or lessons on the platform always ensure that the information is correct, the content itself does not belong to a third party and that it is free from any of the prohibited acts in these guidelines.

Always ensure that the personal information of a person or even your own personally identifiable information is not disclosed while posting any content on the platform, this would be in violation of our Privacy Policy.

You will be personally held responsible for your actions on the Platform, thus please ensure that any content that you post including comments does not hurt the sentiments of any group or individual and cannot be construed as being harassment or bullying.

Takedown Policy

Copyright, Trademarks, and other Intellectual Properties

All rights in the User-generated Content (including Content Provider Content) made available on the Platform are owned by the Users, where Skillbez India Pvt Ltd is a limited licence holder to publish the same on Platform. Please read the Terms and Conditions to know the exact nature of licence and rights Users grant to Skillbez India Pvt Ltd. User-generated Content is subject to the Platform Terms (as defined in the Terms and Conditions), and hence, kindly ensure that you use the User-generated Content only within the parameters as provided in the Platform Terms. You are prohibited from using the User-generated Content as your own without the prior permission of the content creator and Skillbez India Pvt Ltd.

Skillbez India Pvt Ltd Content (as defined in the Terms and Conditions) on the Skillbez India Pvt Ltd Platform including but not limited to, images, graphics, process, images, software, are owned by or licensed to Skillbez India Pvt Ltd and subject to Copyright and trademark protections and you are prohibited from using the same as your own, without the prior permission of Skillbez India Pvt Ltd. For clarity, Skillbez India Pvt Ltd Content does not include User-generated Content.

We have implemented the following procedures for receiving written notification of claimed infringements on the User-generated Content uploaded on the Platform. If you believe that your intellectual property rights or of any person you are aware of, have been used in a way that gives rise to concerns of infringement, you may either report such User-generated Content by using the report button provided within the Platform or write to us at __________________ with complete details as required under below.

Capitalised terms used but not defined in this Policy can be found in our Platform Terms.

  1. COPYRIGHT COMPLAINTS AND TAKEDOWN POLICY:
    1. Copyrights Complaints: All complaints/ notices of alleged copyright infringements or violations received by Skillbez India Pvt Ltd shall be processed, investigated and appropriate actions will be taken in the following manner:

      For all User-generated Content published in respect of Services offered under International Goals, complaints/ notices of alleged copyright infringements or violations received by Skillbez India Pvt Ltd shall be dealt with in accordance with the Copyright Act and other applicable intellectual property laws of India. If you, in good faith, believe that your work or that of a person you know, has been copied in a way that constitutes copyright infringement or violation, a notification of claimed copyright infringement or violation should be emailed to Skillbez India Pvt Ltd’s designated copyright agent at _________________(Subject line: “Takedown Request”) which contains the information stated hereinbelow. You may also send the said information by mail at: Skillbez India Pvt Ltd __________________
      For all User-generated Content published in respect of all Services (excluding those under International Goals, complaints/ notices of alleged copyright infringements or violations received by Skillbez India Pvt Ltd shall be dealt with in accordance with the Indian Copyright Act, 1957 (as amended from time to time). If you, in good faith, believe that your work or that of a person you know, has been copied in a way that constitutes copyright infringement or violation, a notification of claimed copyright infringement or violation should be emailed to Skillbez India Pvt Ltd at _________________ (Subject line: “Copyright: Takedown Request - India”) which contains the information stated hereinbelow. You may also send the said information by mail at: Skillbex India Pvt ltd ___________________

      Please note that by claiming copyright infringement you are initiating a legal process, kindly be sure to consider whether fair use, fair dealing, or a similar exception to copyright apply before you report.

      To be effective, the notification you send to us must be in writing and contain the following information:
      1. an electronic or physical signature of you or the person authorised to act on behalf of the owner of the copyright or other intellectual property interest;
      2. a description of the copyrighted work or other intellectual property that you claim has been infringed;
      3. a description of where the material that you claim is infringing is located on the Platform, with enough detail that we may find it on the Platform;
      4. Your address, telephone number, and email address;
      5. a statement by you that you have a good faith belief that the disputed use is not authorised by the copyright or intellectual property owner, its agent, or the law;
      6. a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorised to act on the copyright or intellectual property owner’s behalf.

b. Please note that we may send a copy of any infringement claim received to the User who posted the content that was reported by you as infringing.

If you submit a notice of infringement that knowingly materially misrepresents that any content, information, or communication on the Platform is infringing upon a copyright, you may be held liable for damages and attorneys’/lawyers’ fees.

    c. Counter-Notice: If you believe that any User-generated Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to upload and use the content in such User-generated Content, you may send a written counter-notice containing the following information to Skillbez India Pvt Ltd’s designated agent using any of the methods mentioned under ‘Copyrights Complaint’ section above:

    1. Your physical or electronic signature;
    2. identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
    3. a statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and
    4. Your name, address, telephone number, and email address, a statement that you consent to the applicable jurisdiction of the courts as per the Terms and Conditions, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.


    d. If a counter-notice is received by Skillbez India Pvt Ltd, then Skillbez India Pvt Ltd will send a copy of the counter-notice to the original complaining party informing that person, that it may replace the removed content or cease disabling it in 10 (ten) business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 (ten) to 14 (fourteen) business days or more after receipt of the counter-notice, at our sole discretion.

      2. TRADEMARKS AND OTHER INTELLECTUAL PROPERTY RIGHTS:

      The trademarks, service marks, logos displayed on the Skillbez India Pvt Ltd Platform are owned by Skillbez India Pvt Ltd (“Skillbez India Pvt Ltd Marks”) or licensed by Skillbez India Pvt Ltd to use on the Skillbez India Pvt Ltd Platform. If you haven’t received our permission, do not use the Skillbez India Pvt Ltd Marks as your own or in any manner that implies sponsorship or endorsement or any relation to Skillbez India Pvt Ltd.

      A product or service branded with the Skillbez India Pvt Ltd name or logo is a reflection of Skillbez India Pvt Ltd. Unless you are one of our licensees, we don’t allow others to make, sell, or give away anything with our name or logo on it.

      Further, if you believe that your intellectual property rights (other than copyrights) or that of any person you know have been used in a way that gives rise to concerns of infringement, then kindly write to us at legal@Skillbez India Pvt Ltd.com with a description of the trademark or intellectual property that you claim has been infringed, a description of where the material that you claim is infringing is located on the Platform, with enough detail that we may find it on the Platform, and your address, telephone number, and email address.


        3. REPEAT INFRINGER POLICY:

        Skillbez India Pvt Ltd has adopted a policy of terminating users who are deemed to be repeat infringers, in appropriate circumstances and at Skillbez India Pvt Ltd’s sole discretion. Skillbez India Pvt Ltd may also at its sole discretion, limit access to the Platform and/or terminate the accounts of any users who infringes any intellectual property rights of others, whether or not there is any repeat infringement. Further, we reserve the right to remove access to any content that we know, or have reason to know, violates the intellectual property rights of Skillbez India Pvt Ltd or other Users.

          Terms & Conditions – Skillbez India Pvt Ltd Referral




          Skillbez India Pvt Ltd Learner Referral Program (“Referral Program”) is made available through the Platform to all Learners (as defined in our Terms and Conditions) who are paid Subscribers on the Platform.

          When we refer to “you”/ “your/s”, we collectively mean you as the Learner on the Platform. Similarly, when we speak of “Skillbez India Pvt Ltd”, “we”, “us”, and “our”, we collectively mean (Website Developer) – a company incorporated in India and all its affiliates which have a license to host the Platform and offer Services. Kindly refer to the ‘Error: Reference source not found’ section of the Terms and Conditions to know which Skillbez India Pvt Ltd entity your Agreement (as defined in Terms and Conditions) will be with.

          Participation in our Referral Program is subject to the following terms and conditions (“Referral Terms”). Please take the time to read our Referral Terms and Platform Terms (as defined below). By participating in our Referral Program, you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions of these Referral Terms along with the Skillbez India Pvt Ltd’s Terms and conditions, Privacy Policy and any other terms and conditions updated on the Platform or communicated to you from time to time (collectively referred to as the “Platform Terms”). If you do not agree to any of the terms and conditions, then please do not participate in our Referral Program or use our Service (as defined in our Terms and Conditions).

          Capitalised terms not defined in these Referral Terms shall have the meaning set forth in our Platform Terms.

          We may change these Referral Terms from time to time and will post any changes on the Platform or notify you via email, at our option, as soon as such changes are in effect.

          Eligibility and Participation: Participation in the Referral Program is voluntary, and all Learners on the Platform are eligible to participate in the Referral Program. Accordingly, the ‘Age Requirements’ as stated in our Platform Terms shall continue to apply to all Learners participating in the Referral Program.


          1. Once registered on the Platform as a Learner, you will have the option to generate a referral code within your account on the Platform or otherwise as directed on the Platform or as may be communicated to you by Skillbez India Pvt Ltd in writing (emails included)(“Referral Code”).
          2. You may refer friends or anyone by sending them the Referral Code via the Platform, email or through any other mode or platform.
          3. Once a person registers on the Platform as a Learner and purchases a Subscription (as defined in our Terms and conditions) using your Referral Code, such person shall be considered as your “Qualified Referral”.


          Please note that Referral Codes are unique to each Learner, and only when the person registering as a Learner applies your Referral Code will he/she/they be considered as your Qualified Referral. In other words, if the person you referred has failed to enter/apply the Referral Code that is unique to you while registering as a Learner or purchasing a Subscription (as applicable) on the Platform, then such person shall not be considered as your Qualified Referral, and you shall not be eligible to receive any Referral Rewards (defined below) in respect of that person. Similarly, any failure on your part to display or share the correct Referral Code shall not be the responsibility of Skillbez India Pvt Ltd.

          A ‘Qualified Referral’ does NOT include the following:

          1. Self-Referrals shall not be deemed as a Qualified Referral and Referral Rewards are not valid or payable for Self-Referrals. So, if your personal details, including but not limited to, last name, email address, IP address or website details, are the same as your Qualified Referral(s), then such referral will be deemed as a “Self-Referral”. Skillbez India Pvt Ltd, in its sole discretion, will determine the classification of any referral as a “Self-Referral”.
          2. Referrals made to any existing Learners on the Platform shall not be deemed as Qualified Referrals; only a new user registering on the Platform using your Referral Code shall be considered as your Qualified Referral.
          3. If a Learner referred by you initiates cancellation or refund of the Subscription on the Platform within 30 (thirty) days (or such other number of days as mentioned on the Platform) from the date of purchase of the Subscription on the Platform, or if there have been any chargebacks by such Learner, then such Learner referred by you shall not be deemed as a Qualified Referral, and you shall not be entitled to any Referral Rewards in respect of such Learner.
          4. No referral by you shall be considered as a Qualified Referral, if Skillbez India Pvt Ltd suspects any fraudulent activity by you to increase your Qualified Referrals, including without limitation, the use of any software that generates real and fictitious information, multiple accounts from the same users referred by you, or any activity that does not comply with the Referral Terms and/or the Platform Terms. In these cases, Skillbez India Pvt Ltd shall also have the right to terminate your account and access to the Platform at its sole discretion.
          5. Where any Learner referred by you receives from or was offered coupons, refunds, credits or discounts by you to purchase a Subscription on the Platform and such offering was a not authorised by Skillbez India Pvt Ltd, then such purchase by the Learner referred by you shall not amount to a Qualified Referral.
          6. If it is found by Skillbez India Pvt Ltd that you have adopted marketing practices in contravention to these Referral Terms or that we deem to be unethical or are likely to attract fraudulent signups, then such Learners referred by you shall not be deemed as Qualified Referrals.
          7. Any referral that is deemed to be in contravention of these Referral Terms, Platform Terms and/or any other terms as communicated to you by Skillbez India Pvt Ltd in writing (emails included) at the sole discretion of Skillbez India Pvt Ltd, shall not be deemed as a Qualified Referral.

          Referral Rewards: For each Qualified Referral you may be entitled to receive a reward in the form of discounts on courses , gift vouchers or otherwise in kind as detailed out here or elsewhere on the Platform and/or as communicated to you in writing (emails included) from time to time (“Referral Rewards”) (as defined below). These Referral Rewards, and the duration for which these Referral Rewards are offered, are as detailed out on the Platform and/or as communicated to you in writing (emails included). The Referral Rewards shall be determined by Skillbez India Pvt Ltd at its sole discretion and the same may vary from time to time, unless otherwise specifically communicated to you in writing (emails included).

          It is hereby clarified that the Referral Rewards shall be inclusive of all applicable taxes and subject to deduction of applicable taxes. Skillbez India Pvt Ltd shall not be responsible to pay any taxes on the Referral Rewards in any manner.

          Disbursement of Referral Rewards: We will track the Qualified Referrals generated by you through your Referral Code, and we will make this information available to you either on your dashboard on the Platform or otherwise communicate to you (including via email). To permit accurate tracking, reporting, and commission accrual, you must ensure that the Referral Codes are properly made available to your referrals. Further, please note the below-

          1. Based on your Qualified Referrals, you shall be entitled to such Referral Rewards as determined by Skillbez India Pvt Ltd at the time of its accrual. The information regarding the Referral Rewards you may be entitled to shall be made available to you either on your dashboard or shall be communicated to you by Skillbez India Pvt Ltd including via email.
          2. The Referral Rewards shall be disbursed to you upon you claiming the same either through your dashboard or through such other mechanisms as may be communicated to you by Skillbez India Pvt Ltd. Unless duly claimed by you in accordance with the mechanism communicated by Skillbez India Pvt Ltd, Skillbez India Pvt Ltd shall not be obligated to disburse any Referral Reward to you on any account whatsoever.
          3. You are entitled to Referral Rewards only for your Qualified Referrals as verified by Skillbez India Pvt Ltd in accordance with these Referral Terms and other terms as may be communicated to you in writing (emails included).
          4. Referral Rewards shall be disbursed to you based on the current information provided by you on the Platform, including your email address and phone number. In case of any changes, it shall be your sole responsibility to update the information in your dashboard or by writing to ________________, and Skillbez India Pvt Ltd shall not be liable for the same.
          5. If there are any cash-based Referral Rewards, then the payment of same may be facilitated to you subject to your submission of the required ‘Know your Customer’ (KYC) documents, and any other tax related documents as may be required by Skillbez India Pvt Ltd.
          6. It is hereby clarified that the Referral Rewards shall be inclusive of all applicable taxes and subject to deduction of applicable taxes. Skillbez India Pvt Ltd shall not be responsible to pay any taxes on the Referral Rewards in any manner.
          7. Skillbez India Pvt Ltd reserves the right to withhold disbursement of Referral Rewards if it is determined that you have referrals that are in contravention of these Referral Terms and/or any terms as may be communicated to you in writing (emails included).
          8. Skillbez India Pvt Ltd reserves the right to immediately cancel or withhold for later review any Referral Rewards that fail to meet the criteria of a ‘Qualified Referral’. You are responsible for monitoring the disbursement, denial, and withholding of Referral Rewards; Skillbez India Pvt Ltd is not obligated to actively notify you of the status of the Referral Rewards except as stated hereunder. If you have any questions about your Referral Rewards that have been cancelled or withheld, you have thirty (30) days from the day such Referral Reward would have accrued to contact Skillbez India Pvt Ltd requesting the information for such cancellation or withholding. Any changes to decisions about cancelled or withheld Referral Reward are strictly made in Skillbez India Pvt Ltd’s sole discretion

          Marketing and Promotions:

          1. You shall bear your own costs and expenses related to marketing and promoting Skillbez India Pvt Ltd. Skillbez India Pvt Ltd is not obligated to reimburse or credit you for any marketing expenses, unless it has been specifically agreed by Skillbez India Pvt Ltd in writing (emails included).
          2. You hereby represent and warrant that your marketing practices do not violate any of the following restrictions. you shall -
            1. not advertise Skillbez India Pvt Ltd as a free product.
            2. not make any false, misleading, or disparaging statements with respect to the Skillbez India Pvt Ltd, its employees, its customers, its affiliates, its Services, or the Referral Program.
            3. not use traffic that is generated by, including, but not limited to, pay to click, pay to read, banner exchanges, click exchanges, cost-per-view advertising, pop-up/under, spam, purchased traffic, or similar methods without prior written consent from Skillbez India Pvt Ltd.
            4. not create websites or advertisements that copy, imitate, or resemble the look and feel of Skillbez India Pvt Ltd’s Services.
            5. not engage in the advertisement of business-opportunity websites or use marketing practices that attract fraudulent or short-term customers.

            7. include a physical mailing address and unsubscribe information for any marketing email sent promoting Skillbez India Pvt Ltd’s Services.
            8. communicate clearly that they, not Skillbez India Pvt Ltd, are the sender of all marketing communications related to the promotion of Skillbez India Pvt Ltd’s Services as part of the Referral Program.
            9. not engage in any marketing or promotional activities that violate applicable laws, rules, or regulations.
            10. not market using facsimile, broadcast, telemarketing, text message marketing, or other offline marketing methods regarding Skillbez India Pvt Ltd and/or its Services without the express written consent of Skillbez India Pvt Ltd.
            11. not use malware or spyware to market or promote Skillbez India Pvt Ltd’s Services.

          Coupons and Promotional Codes: You may only use coupons and promotional codes that are provided exclusively through the Referral Program. We do not provide any rewards or incentives to Qualified Referrals, unless otherwise specifically communicated in writing (digital medium included), and Skillbez India Pvt Ltd reserves the right to cancel any and all Referral Rewards where it finds evidence of any activity run by you that claims or otherwise communicates offering of rewards or incentives to Qualified Referrals by Skillbez India Pvt Ltd. Further, we do not encourage you to offer such incentives or rewards to promote the use of your Referral Code in any manner.

          Prohibited Activities:

          1. Except as permitted herein, you shall not and are not authorized to –

          IP Licenses and Use:
          Subject to the limitations set forth in these Referral Terms, we grant you a non-exclusive, non-transferable, non-assignable, revocable license to (i) provide access to Skillbez India Pvt Ltd’s website through the Referral Codes solely in accordance with these Referral Terms; and (ii) use Skillbez India Pvt Ltd’s IP for the sole purpose of promoting Skillbez India Pvt Ltd’s Services in accordance with these Referral Terms and/or any terms as may be communicated to you in writing (emails included).

          You shall not alter, modify, or change Skillbez India Pvt Ltd’s IP in any way or use Skillbez India Pvt Ltd’s IP in any manner that is disparaging or that otherwise portrays Skillbez India Pvt Ltd, any Skillbez India Pvt Ltd employee, representative or customer in a negative light.           Your license to use Skillbez India Pvt Ltd’s IP shall immediately terminate upon the termination of your participation in the Referral Program for any reason. We reserve all of our rights in Skillbez India Pvt Ltd’s IP and your license to use Skillbez India Pvt Ltd’s IP is limited to the manner described herein.

          General Terms:

          1. Skillbez India Pvt Ltd reserves the right to modify or cancel the Referral Program in its entirety without prior notice. Similarly, Skillbez India Pvt Ltd reserves the right to modify, add or delete any of the terms under this Referral Terms at any point of time at its sole discretion without serving any prior intimation. Intimation of any change, modification, addition, deletion in the Referral Terms will be updated on this page or in the relevant section of the Platform.

Skillbez India Pvt Ltd Platform is an online education platform that creates Online educational videos/or Courses. Skillbez India Pvt Ltd offers both live and recorded classes via subscription. Skillbez India Pvt Ltd also offers its Learners live mentorship sessions with their Educators for doubt clearing, strategy & study plan and concept clarity as part of the subscription.

          Considering the possible interactions between the Learners (who may be minors i.e., under the age of 18 years) and you, the Company realises the need to implement specific guidelines that govern your conduct on the Skillbez India Pvt Ltd Platform while interacting with Learners (including Minors). Protecting the safety and well-being of children is of utmost importance to the Company and hence the Company has adopted this Minor Interaction - Code of Conduct Guidelines (“Minor & Learner Interaction Guidelines”) requiring Educators/Mentors/other users to conduct themselves with utmost care while interacting with minors on the Skillbez India Pvt Ltd Platform and take reasonable measures to ensure the safety of such minors.

          This Minor & Learner Interaction Guidelines aims to define and lay down the expectations on behaviour and your actions while interacting with minors on Skillbez India Pvt Ltd. Additionally, it will lay down the scope of application of this Minor & Learner Interaction Guidelines and guidelines for reporting any issues relating to minors.

          Please read this Minor & Learner Interaction Guidelines, along with the Privacy Policy, Terms and Conditions, User Guidelines, and all terms and conditions, rules and policies made available or published on Skillbez India Pvt Ltd Platform as they shall govern your use of the Skillbez India Pvt Ltd Platform. By using or visiting the Skillbez India Pvt Ltd Platform or any Skillbez India Pvt Ltd software, data feeds, and service provided to you on, from, or through the Skillbez India Pvt Ltd Platform, you signify your agreement to (1) this Minor & Learner Interaction Guidelines; (ii) the “Terms and Conditions”, (3) Skillbez India Pvt Ltd’s Privacy Policy and any other terms that are updated and uploaded on the Skillbez India Pvt Ltd Platform from time to time.           A. Definitions

          1. “Educators” shall mean and include all users who are teaching or tutoring on the Skillbez India Pvt Ltd platform.
          2. “Learners” shall mean and include all users (including Minors) who have subscribed to or otherwise using Skillbez India Pvt Ltd as a learning platform.
          3. “Mentors” shall mean and include all users who are providing the mentoring services on the Skillbez India Pvt Ltd platform to the Learners who have subscribed to such services or otherwise.
          4. “Minor/s” or “Child/Children” shall mean and be construed in accordance with the Indian Majority Act, 1875, the Protection of Children against Sexual Offences Act, 2012 (POCSO Act, 2012), Child Labour (Prohibition and Regulation) Act, 1986 and such other applicable Indian laws i.e., the term shall mean and include all individuals who have not attained the age of 18 (eighteen) years.
          5. “Minor & Learner Interaction Guidelines” shall mean this Minor & Learner Interaction - Code of Conduct Guidelines, on Skillbez India Pvt Ltd platform and includes all annexures and appendices attached thereto, if any and updates, changes and amendment as may be made by the Company and uploaded herein, from time to time.
          6. “You” or “Your” shall mean Educator, Learner, Mentors or any other Users of the Skillbez India Pvt Ltd Platform.



          B. SCOPE OF APPLICATION

          This Minor & Learner Interaction Guidelines shall apply to all Educators, Mentors and any user on the Skillbez India Pvt Ltd Platform, who interact with Minors on or through any feature on the Skillbez India Pvt Ltd platform.

          All Educators, Mentors, Learners and any other users interacting with Minors, in any capacity, on or through any feature on the Skillbez India Pvt Ltd Platform shall adhere to this Minor & Learner Interaction Guidelines. Any violation of this Minor & Learner Interaction Guidelines amounts to termination of your account, subscription or agreement with the Company, as the case may be and the Company also reserves the right to initiate appropriate legal proceedings against you if it deems necessary.



          C. Rules of Conduct

          1. No Discrimination: Treat every Minor with empathy and respect, regardless of his/her race, colour, gender, sexuality, language, religion, religious belief, heritage, political/other opinion, national/ethnic/social origin or property/disability/birth/other status; listen to them and respect their views.
          2. Conducive Learning Environment: Establish an atmosphere that fosters the development of Minor through your actions and words. Do not place a Minor at risk of harm or abuse and do not harm or abuse any Minor in any manner whatsoever, including but not limited to emotionally or sexually.
          3. Appropriate Communication and Behaviour: Good communication is the vehicle for learning and essential for further development of Minor. Good communication involves listening and talking in ways that Minors understand and feel heard, important and valued. Using any form of language or behaviour towards Minor that is inappropriate, demotivating, harassing, abusive, sexually provocative, demeaning, intimidating, offensive, discriminatory or culturally insensitive shall not be tolerated; further, any communication or behaviour while interacting with Minor shall not, in any manner whatsoever, induce or support physical or sexual relationships with Minor or portray use of or encourage the use of alcohol, drugs, cigarettes or other intoxicating or restricted substances. The Company understands that there may be instances when there are exchange of ideas and opinions which is essential in the learning process, while it is agreed that individuals have the right to voice their opinions, the Company has zero tolerance towards any form of communication or behaviour stated hereinabove, and the Company –
            1. DOES NOT encourage or tolerate any form of hate speech or statements that are libelous, slanderous, threatening, violent, predatory, defamatory, or any statement that incites hatred against specific individuals or groups with respect to but not limited to race or ethnic origin, country caste, religion, disability, gender, age, sexual orientation/gender identity etc.; and
            2. DOES NOT tolerate any form of harassment or bullying on the Skillbez India Pvt Ltd Platform and strive to keep the platform a safe space to foster learning. Harassment in this case would include, without limitation, abusive videos, comments, messages, revealing someone’s personal information, including sensitive personally identifiable information of individuals, content or comments uploaded in order to humiliate someone, sexual harassment or sexual bullying in any form.
          4. If it comes to the notice of the Company that your actions towards a Minor are inappropriate in any manner, then the Company reserves the right to take immediate and necessary actions, as it deems fit including legal proceeding, against you.
          5. Content Sharing: Your interaction with a Minor on Skillbez India Pvt Ltd should be specific to the purpose of your engagement with such Minor and accordingly, information shared with such Minor should be strictly applicable and relatable to the subject-matter being discussed between you and the Minor. Sharing and display of inappropriate content with/to the Minor including but not limited to materials encouraging crime, violence, terrorism, racism, sexism, self-harm, suicide, cruelty, pornography, gambling, or any content whose sole objective is to sensationalize, shock or disturb individuals (electronically or in any other form) is not allowed and shall not be tolerated.
          6. Recording of the interactions with Minor: Unless recording is done by the Skillbez India Pvt Ltd Platform as part of the Skillbez India Pvt Ltd Platform offering, you shall not record or otherwise store the interaction and / or sessions between you and the Minor and/or their parents/legal guardian including through use of a secondary camera or any other recording devices.
          7. Impersonation: Educators/Mentors/other users having entered into an agreement with the Company to teach or otherwise use Skillbez India Pvt Ltd to communicate with, the Learners (including Minors) are bound to fulfil their obligations in person (i.e., by themselves) and not assign or sublicense the same to another person. Educator/Mentor/such other user engaging any other individual/person to impersonate them or an Educator/Mentor/such other user impersonating as another Educator/Mentor/other user, while teaching or otherwise using Skillbez India Pvt Ltd to communicate/interact with the Learners (including Minors) is not permitted and shall not be tolerated and considered as violation of this Minor & Learner Interaction Guidelines. In this case impersonation would mean the intention to cause confusion regarding who the real person is by pretending to be them (such as using names, image, documents, certificates etc., not belonging to or not used to identify the intended Educator/Mentor/other user, or pretending to be a company, institute, group etc., by using their logo, brand name or any distinguishing mark).
          8. Confidentiality: Company understands that during the interactions between you and the Learners (including Minors), you may be privy to certain personal information about Learners (including Minors) or their parents/guardians. Hence, you shall at all times maintain the confidentiality of such information received and ensure that such information is dispensed to only those individuals who are legitimately entitled to strictly in accordance with their agreement with the Company and Skillbez India Pvt Ltd’s terms and condition and policies (including its Privacy Policy) as available on Company’s website.
          9. Relationship with the Learners (including Minors): The relationship between you and the Learners will be strictly limited to the purpose of imparting education or knowledge, or for such purpose as specifically stated in the agreement or terms of engagement communicated to you by the Company and you shall not form any relationship or arrangement (financial or otherwise) with the Learner (including Minors or their parents/legal guardians) which could in any way be deemed to be exploitative or abusive. Do not use child labour in any form.
          10. Being Safe Online: Not everything online is trustworthy. Hence, if you are using online resources to create your teaching or reference materials that are to be shared with the Learners and/or Minors (including downloading of any content or files relevant to the subject being discussed with the Learners and/or Minors), it is important that the you assess the reliability of such resources and the information provided therein. Prior to using any such online resources or platforms it is strongly recommended that you exercise reasonable caution and read the terms and conditions for the use of such sources as provided on the platforms. Further, you must understand the importance of safeguarding your computers, laptops or any other handheld device used by you to access the Skillbez India Pvt Ltd Platform and interact with the Learners (including Minors) from virus attacks, trojans and phishing attacks; because such attacks will not only threaten your privacy, but may also expose the Learners and their privacy to such attacks when any form communication/interaction takes place through such compromised device.
          11. Training Sessions: If there are any training sessions and workshops conducted by the Company, you must attend the same and ensure to implement the lessons learned from such sessions and workshops during your interactions with Learners. Further, the Company encourages you to attend training sessions and workshops conducted by other organisations to better understand the acceptable standards of conduct while interacting with Minors (whether online or offline), however, before implementing any of the lessons learnt from such sessions or workshops, you shall consult with the Company.



          D. Child Abuse and Punishments

          Apart from the prohibited activities stated in the ‘Rules of Conduct’ section above, it is important for you to understand that Child abuse in any form (physical, emotional, or sexual) and in any manner (including through online platforms) could be punishable under the Indian Laws and you are strictly prohibited from engaging in such activities in any manner whatsoever.

          To help you better understand online Child abuse and its consequences, the concepts and the relative punishments under certain applicable laws are briefly detailed below for their immediate reference. However, it is strongly recommended that you do further research and read through all the applicable laws in relation to the treatment of Minors/Children, including the links provided herein. Further, the Company shall endeavour to update the Policy from time to time depending on any changes to the existing laws and regulations, however, it shall be your responsibility to keep yourself updated about the applicable laws and regulations from time-to-time.

          1. What Constitutes Child Abuse?
            Child abuse or maltreatment constitutes all forms of physical and/or emotional ill-treatment, sexual abuse, neglect or negligent treatment or commercial or other exploitation, resulting in actual or potential harm to the child’s health, survival, development or dignity in the context of a relationship of responsibility, trust or power.
            1. Physical abuse: The intentional use of physical force against a child that results in or has a high likelihood of resulting in harm to the child’s health, survival, development or dignity. This includes hitting, beating, kicking, shaking, biting, strangling, scalding, burning, poisoning and suffocating.
            2. Emotional/mental abuse: Emotional abuse includes the failure to provide a developmentally appropriate, supportive environment, so that the Child can develop a stable and full range of emotional and social competencies proportionate with his or her personal potential and in the context of the society in which the Child dwells. Acts include restriction of movement, patterns of belittling, denigrating, scapegoating, threatening, scaring, discriminating, ridiculing or other non-physical forms of hostile or rejecting treatment.
            3. Neglect and negligent treatment​: Neglect is the failure on the part of the parents, guardian, teacher/educators/mentors, or other responsible party to provide for the Child’s basic needs, such as food, shelter, medical care, educational opportunities, or protection and supervision. It is abuse through omission of the necessary environment and resources for the Child to reach their full potential; and the act of not recognizing physical or emotional abuse.
            4. Exploitation: Commercial or other exploitation of a Child refers to use of the Child in work or other activities for the benefit of others. This includes, but is not limited to, Child labour and Child prostitution. These activities are to the detriment of the Child’s physical or mental health, education, or spiritual, moral or social-emotional development. The Child Labour (prohibition and regulation) Act, 1986 and the Protection of Children from Sexual Offences Act, 2012 address the issues concerning Child labour and sexual abuse, and any act under in relation to that is deemed a punishable offence under the said regulations.
            5. Sexual abuse​: Sexual abuse is an act or behaviour which constitutes a sexual offence under the Protection of Children from Sexual Offences Act, 2012 (‘POCSO Act, 2012’), as amended from time to time. Such sexual offences include penetrative sexual assault (including rape), non-penetrative sexual assault (including touching the private parts of a Child), sexual harassment (including stalking a Child, showing a Child pornography, online grooming, and making a Child exhibit his/her body) and using a Child for pornographic purposes (including storing of pornographic material involving a Child for commercial purposes).
              An abetment of and even an attempt to commit a sexual offence under the POCSO Act, 2012 are also considered to be offences. Certain offences under the POCSO, 2012 are considered to be aggravated offences and are subject to stringent punishments.
          2. Legal Implications of Online Child Abuse:
            This Minor and Learner Interaction Guidelines has only highlighted a few circumstances of Child Abuse and the legal implications thereto with an intention to give you a brief insight on the probable consequences of mis-utilizing the Skillbez India Pvt Ltd Platform. Hence, you must not consider the information provided in this Minor and Learner Interaction Guidelines as the ultimate source of information relating to Child Abuse and its legal implications. It is strongly recommended that they keep themselves updated about the applicable laws and regulations from time-to-time.
            1. Juvenile Justice (Care and Protection of Children) Act, 2015: It is to be noted that the Juvenile Justice (Care and Protection of Children) Act, 2015 criminalises acts that may cause a child mental or physical suffering. As per section 75 of the Act, whoever, having the actual charge of, or control over, a Child, assaults, abandons, abuses, exposes or willfully neglects the Child or causes or procures the Child to be assaulted, abandoned, abused, exposed or neglected in a manner likely to cause such Child unnecessary mental or physical suffering, shall be punishable with imprisonment for a term which may extend to three years or with fine of one lakh rupees or with both.
            2. Sexual Harassment: POCSO Act, 2012 recognizes sexual harassment as a punishable offence; ‘Sexual Harassment’ as per Section 11 of the POCSO Act, 2012 is any act of a person done/committed with a sexual intent and such acts include –
              1. Uttering of any word or making sounds, or gestures or exhibiting any object or part of body with the intention that such word or sound shall be heard, or such gesture or object or part of body shall be seen by the Child; or
              2. making a Child exhibit his/her body or any part of his/her body so as it is seen by such person or any other person; or showing any object to a Child in any form or media for pornographic purposes; or
              3. repeatedly or constantly following or watching or contacting a Child either directly or through electronic, digital or any other means; or
              4. threatening to use, in any form of media, a real or fabricated depiction through electronic, film or digital or any other mode, of any part of the body of the Child or the involvement of the child in a sexual act; or
              5. enticing a child for pornographic purposes or gives gratification therefor.
            3. Section 12 of the POCSO Act, 2012 states that an act of sexual harassment upon a Child shall be punished with either imprisonment for a term up to three years or fine or both.
            4. Voyeurism and violation of privacy:
              1. Section 354C, the Indian Penal Code (IPC) 1860 states that viewing and/or capturing the image of a girl or woman going about her private acts, where she thinks that no one is watching her, is a crime. The offender in such cases of voyeurism can be punished with three to seven years of imprisonment and a fine. While this section of the IPC can only be used by girls and women, the Information Technology Act, 2000 is gender neutral.
              2. Section 66E, IT Act, 2000: Intentionally or knowingly capturing, publishing or transmitting the image of a private area of any person without his or her consent, under circumstances violating the privacy of that person, shall be punished with imprisonment which may extend to three years or with fine not exceeding Rupees two lakh or with both.
            5. Sending obscene material without the consent of the recipient:
              1. Section 67, IT Act, 2000: It punishes sharing obscene material in electronic form. The punishment can be jail for five years and a fine of Rs 10 lakhs.
              2. Section 67A, IT Act, 2000: It punishes sharing material containing sexually explicit act in electronic form with jail for seven years and a fine of Rs 10 lakhs.
          3. The provisions of the Information Technology Act are not gender specific and apply to everyone.



          E. Reporting

          While it is important that you do not commit or cause to commit an act prohibited under this Minor and Learner Interaction Guidelines and any applicable laws relating to Child Abuse, it is also very important that they do not remain bystanders when they encounter online abuse and exploitation. In fact, being aware of a child abuse case and not reporting it is illegal under the POCSO Act, 2012.

          In the event the you suspects any form Child Abuse from your interaction with the Minor Learner, then you must write to _____________, so that the necessary actions can be taken by the Company.

Because use of the Services involves hardware, software, and Internet access, Your ability to access and use the Services may be affected by the performance of these factors. High speed Internet access is recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are Your responsibility and are to be procured at your own cost.

          1. “Classroom Service” shall mean the service provided by Skillbez India Pvt Ltd under these Service Terms through which You can conduct virtual live classes on the Skillbez India Pvt Ltd Platform by sharing the Classroom Link with Your students/learners.
          2. Classroom Link” shall mean the link that is generated by You and share with any person, who can join the classroom using the said link.
          3. “Classes” shall mean the virtual live streamed classes conducted by You or by Your Representatives.
          4. “End User” means a You or Your students/learner to whom you have shared the Classroom Link to participant and use the Classroom Service.
          5. “Laws” means shall mean any statute, law, regulation, ordinance, rule, judgement, notification, rule of common law, Order, decree, bye-law, government approval, directive, guideline, requirement or other governmental restriction, or any similar form of decision of, or determination by, or any interpretation, policy or administration, having the force of law of any of the foregoing, by any authority having jurisdiction over the matter in question;
          6. “Policies” means Skillbez India Pvt Ltd Terms of Service, Privacy Policy, User Guidelines and any other policy, rule, guidelines or terms published or updated by Skillbez India Pvt Ltd from time to time on its website www.Skillbez.com or communicated to you by Skillbez India Pvt Ltd by any medium of communication and are hereby incorporated in these Service Terms by reference.
          7. “Representative” means any person that You have authorised to use the Service through Your account.

          2. SERVICES

          Service under these Service Terms shall include Classroom Service along with the associated features, links and software and standard updates to the Services that are made generally available by Skillbez India Pvt Ltd during the term (together “Services”). Skillbez India Pvt Ltd may, in its sole discretion, discontinue the Services or modify the features of the Services from time to time without prior notice. Skillbez India Pvt Ltd may, from time to time, offer access to services that are classified as Beta version. Access to and use of Beta versions may be subject to additional agreements. Skillbez India Pvt Ltd makes no representations that a Beta version will ever be made generally available and reserves the right to discontinue or modify a Beta version at any time without notice. Beta versions are provided AS IS, may contain bugs, errors or other defects, and Your use of a Beta version is at Your sole risk.

          3. GRANT OF LICENSE

          By Skillbez India Pvt Ltd: Subject to these Service Terms, Privacy Policy, Policies and other rules and policies made available or published elsewhere, Skillbez India Pvt Ltd hereby grants the you and to the End User a non-exclusive, non-transferable, non-sublicensable, limited licence to use the Services in accordance with these Service Terms.

          By You: You shall be solely responsible for your own Content and the consequences of submitting and publishing such Content through the Services. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the Content that you submit; and you grant limited license to Skillbez India Pvt Ltd to all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for the limited purpose of publication, display, recording and streaming of the Content through the Services for the duration the said Content is available on the Services and provide the access for such Content to the End Users to whom you provide the Classroom link or link to the classroom recordings.

          4. USE OF SERVICES, YOUR RESPONSIBILITIES AND CONDUCT

          You may only use the Services pursuant to the Service Terms. You are solely responsible for Your and Your End Users’ use of the Services and shall abide by, and ensure compliance with, all Laws in connection with Your and each End User’s use of the Services, including but not limited to Laws related to recording, intellectual property, privacy and export control. Use of the Services is void where prohibited.

          1. Registration: You may be required to provide information about Yourself in order to register for and/or use the Services. You agree that any such information shall be accurate. You may also be asked to choose a user name and password. You are entirely responsible for maintaining the security of Your user name and password and agree not to disclose such to any third party.
          2. Your Content and Conduct: You agree that You are solely responsible for the content ("Content") sent or transmitted by You or displayed or uploaded by You in using the Services and for compliance with all Laws pertaining to the Content, including, but not limited to, Copyright law and other Laws requiring You to obtain the consent of a third party to use the Content and to provide appropriate notices of third party rights. You represent and warrant that You have the right to upload the Content to Skillbez India Pvt Ltd Classroom and that such use does not violate or infringe on any rights of any third party. Under no circumstances will Skillbez India Pvt Ltd be liable in any way for any (a) Content that is transmitted or viewed while using the Services, (b) errors or omissions in the Content, or (c) any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to Content. Although Skillbez India Pvt Ltd is not responsible for any Content, Skillbez India Pvt Ltd may delete any Content, at any time without notice to You, if Skillbez India Pvt Ltd becomes aware that it violates any provision of these Service Terms, or any law. You retain copyright and any other rights You already hold in Content which You submit, post or display on or through, the Services.
          3. Recordings: You are responsible for compliance will all recording laws and associated consent requirements. By using the Services, you are giving Skillbez India Pvt Ltd consent to store recordings for any or all your Classes conducted through the Services, if such recordings are stored in our systems. You can share the link to the recording of Your Classes to any person at your discretion but You shall be responsible for any default/misconduct or violation that occurs due to the such person. At no point in time shall Skillbez India Pvt Ltd be responsible for any activities by any users including you, your students or any third party.
          4. Prohibited Use: You agree that You will not use, and will not permit any End User to use, the Services to: (i) modify, disassemble, decompile, prepare derivative works of, reverse engineer or otherwise attempt to gain access to the source code of the Services; (ii) knowingly or negligently use the Services in a way that abuses, interferes with, or disrupts Skillbez India Pvt Ltd’s networks, Your accounts, or the Services; (iii) engage in activity that is illegal, fraudulent, false, or misleading, (iv) transmit through the Services any material that may infringe the intellectual property or other rights of third parties; (v) build or benchmark a competitive product or service, or copy any features, functions or graphics of the Services; or (vi) use the Services to communicate any message or material that is derogatory to any religion, caste, sex or political opinions, harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation; (vii) upload or transmit any software, Content or code that does or is intended to harm, disable, destroy or adversely affect performance of the Services in any way or which does or is intended to harm or extract information or data from other hardware, software or networks of Skillbez India Pvt Ltd or other users of Services; (viii) engage in any activity or use the Services in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt the Services, or any servers or networks connected to the Services or Skillbez India Pvt Ltd's security systems. (ix) use the Services in violation of any Skillbez India Pvt Ltd policy or in a manner that violates applicable law, including but not limited to anti-spam, export control, privacy, and anti-terrorism laws and regulations and laws requiring the consent of subjects of audio and video recordings, and You agree that You are solely responsible for compliance with all such laws and regulations.
          5. Limitations on Use: You agree to use the Services only for educational purposes and not use the Service for any other purpose.

          You are responsible for the activities of all End Users who access or use the Services through your account and you agree to ensure that any such End User will comply with these Service Terms and any & all Skillbez India Pvt Ltd policies. Skillbez India Pvt Ltd assumes no responsibility or liability for violations. If You become aware of any violation of these Service Terms in connection with use of the Services by any person, please contact Skillbez India Pvt Ltd at ___________. Skillbez India Pvt Ltd may investigate any complaints and violations that come to its attention and may take any (or no) action that it believes is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or User profiles. Under no circumstances will Skillbez India Pvt Ltd be liable in any way for any data or other content viewed while using the Services, including, but not limited to, any errors or omissions in any such data or content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any data or content.

          Skillbez India Pvt Ltd retain ownership of all proprietary rights in the Services and in all trade names, trademarks, service marks, logos, and domain names ("Skillbez India Pvt Ltd Marks") associated or displayed with the Services. You may not frame or utilise framing techniques to enclose any Skillbez India Pvt Ltd Marks, or other proprietary information (including images, text, page layout, or form) of Skillbez India Pvt Ltd without express written consent. You may not use any meta tags or any other "hidden text" utilising Skillbez India Pvt Ltd Marks without Skillbez India Pvt Ltd's express written consent.

          10. COPYRIGHT

          You may not post, modify, distribute, or reproduce in any way copyrighted material, trademarks, rights of publicity or other proprietary rights without obtaining the prior written consent of the owner of such proprietary rights. Skillbez India Pvt Ltd may deny access to the Services to any User who is alleged to infringe another party's copyright. Without limiting the foregoing, if You believe that Your copyright has been infringed, please notify Skillbez India Pvt Ltd of the same.

          11. CONFIDENTIALITY

          You will not without obtaining prior written consent of Skillbez India Pvt Ltd, disclose to third party any Confidential Information (as defined below) that is disclosed to you during the term of your use of the Services. For the purpose of this clause Confidential Information shall include but shall not be limited to employee details, User list, business model, processes, ideas, concepts etc. relating to the Service or Skillbez India Pvt Ltd Platform which are not available in the public domain. You acknowledge and agree that the Confidential Information so provided to you shall at all times be the property of Skillbez India Pvt Ltd and any breach of the same shall cause irreparable damage to us.

          12. INJUNCTIVE RELIEF

          You acknowledge that any use of the Services contrary to these Service Terms, or any transfer, sublicensing, copying or disclosure of technical information or materials related to the Services, may cause irreparable injury to Skillbez India Pvt Ltd, and under such circumstances Skillbez India Pvt Ltd, Skillbez India Pvt Ltd will be entitled to equitable relief, without posting bond or other security, including, but not limited to, preliminary and permanent injunctive relief.

          13. DISCLAIMER AND INDEMNIFICATION

          NO WARRANTIES.

          YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED "AS IS" AND Skillbez India Pvt Ltd EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Skillbez India Pvt Ltd MAKES NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES, REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES OR THAT THE SERVICES WILL MEET ANY USER'S REQUIREMENTS, OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE. USE OF THE SERVICES IS AT YOUR SOLE RISK. ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOU RESULTING FROM THE USE OF THE SERVICES. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SERVICES REMAINS WITH YOU. Skillbez India Pvt Ltd CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SERVICES. USE IS AT YOUR OWN RISK.

          Indemnity.You agree to indemnify, defend and hold harmless Skillbez India Pvt Ltd its officers, directors, employees, consultants and agents, from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys' fees) arising from Your use of the Services, Your violation of these Service Terms or the infringement or violation by You or any other user of Your account, of any intellectual property or other right of any person or entity or applicable law.

          14. LIMITATION OF LIABILITY

          TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Skillbez India Pvt Ltd, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, LOSSES OR EXPENSES OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES IN THE SERVICES (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (III) ANY UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY USER CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT Skillbez India Pvt Ltd IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

          WE UNDERSTAND THAT, IN SOME JURISDICTIONS, WARRANTIES, DISCLAIMERS AND CONDITIONS MAY APPLY THAT CANNOT BE LEGALLY EXCLUDED, IF THAT IS TRUE IN YOUR JURISDICTION, THEN TO THE EXTENT PERMITTED BY LAW, Skillbez India Pvt Ltd LIMITS ITS LIABILITY FOR ANY CLAIMS UNDER THOSE WARRANTIES OR CONDITIONS TO SUPPLYING YOU THE SERVICES AGAIN.

          YOU SPECIFICALLY ACKNOWLEDGE THAT Skillbez India Pvt Ltd SHALL NOT BE LIABLE FOR USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

          THE SERVICES ARE CONTROLLED AND OFFERED BY Skillbez India Pvt Ltd FROM ITS FACILITIES IN INDIA. Skillbez India Pvt Ltd MAKES NO REPRESENTATIONS THAT THE SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO ACCESS OR USE THE SERVICES FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.

          15. Additional terms

          3. Participation in the Contest(s) is voluntary. By participating in the Contest(s) Participants are agreeing to the terms and conditions stated herein.
          4. Individual learners (hereinafter referred to “Participants”) are eligible to participate in the Contest(s) in accordance with the eligibility criteria specified below.
          5. To be eligible to take part in the Contest(s), Participants must conform to the following eligibility criteria:
            1. Be an Individual and participating for themselves and to gauge their own preparation levels;
            2. an Indian citizen residing in India;
            3. legally eligible to enter into a contract;
            4. must be registered Skillbez India Pvt Ltd user(s) or must have enrolled/registered for the Contest(s) during the registration period;
            5. have age and educational qualifications within the limits defined for eligibility of the specific competitive exam that they are appearing for.
          6. It is clarified that Participants do not need to make purchase of any goods or services from Skillbez India Pvt Ltd or any other person to participate in the Contest(s). Participation in the Contest(s) is voluntary and meant only to encourage Participants in their preparation.
          7. Information as available on the official page of the Contest(s) or communicated on Skillbez India Pvt Ltd’s official social media handles shall be the only authentic and valid information about the Contest(s). Skillbez India Pvt Ltd shall not be responsible for any incorrect/misleading information relating to the Contest(s), presented/ displayed on any other source other than the page of the Contest(s) on the Skillbez India Pvt Ltd website. Skillbez India Pvt Ltd will not be liable for any loss suffered by any Participant based on the representation, terms, conditions, and the information presented/displayed on any other source other than the pages of the Contest(s).
          8. To register for the Contest(s), Participant/s must follow the following steps:
            1. Registrations for the Contest(s) shall be as per the Schedule decided by Skillbez India Pvt Ltd from time to time.
            2. An existing subscriber to the Skillbez India Pvt Ltd Platform can register at any time. Non-subscribers may require registration.
            3. A first-time user and non-subscriber to the Skillbez India Pvt Ltd Platform can use the available referral code to register for the Contest(s).
          9. Contest(s) shall be conducted on such dates as may be specified in the Contest(s) page. Contest(s) may have such categories as required depending on variations in syllabus.
          10. Contest(s) shall be for a duration as specified on the Content(s) page. Responses to the Contest(s) questions must be submitted by the Participant while the Contest(s) and the questions are live. Contest(s) are available only for one time participation by an individual irrespective of whether multiple/unique log-in credentials were used. Participants shall not be allowed to restart the Contest(s) if they fail to log-in when the Contest(s) begin. Participants are not allowed to log out and then subsequently log in to complete/redo the test through the same or different credentials. Skillbez India Pvt Ltd shall not be responsible for any failure to log-in or complete the Contest(s) due to any technical issues either at Skillbez India Pvt Ltd’s or Participants’ end.
          11. Skillbez India Pvt Ltd may disqualify any Participant(s), without assigning any reason or being liable in any manner, if in Skillbez India Pvt Ltd’s sole discretion, there is reason to believe that any unethical or fraudulent or unprofessional or unwarranted means were used by any Participant(s) to gain an advantage in the Contest(s).
          12. Participant Ranking:
            1. Ranking shall be based, including but not limited to, speed, time taken, number of correct answers and other internal metrics and algorithms as may be decided by Skillbez India Pvt Ltd. The product algorithm evaluates Participants based on the speed and accuracy of the answers to display on the leaderboard.
            2. Every Participant shall have a different rank and no two Participants shall share a rank.
            3. A leaderboard after each question shall display the rankings and ratings of each Participant and a final leaderboard shall display the winners of the Contest(s).
            4. Rankings are only the result of a mock examination and are in no way indicative of the abilities or inabilities of any Participant.
          13. Prizes: A discount on an Skillbez India Pvt Ltd (Website Developer) Subscription subject to the terms and conditions stated on this page. Participants obtaining higher ranking will be eligible for higher discount. Top Rankers only shall be eligible for discount. The offer of discounts must be availed within the validity period as intimated and shall lapse/expire thereafter. Skillbez India Pvt Ltd shall not entertain any requests after expiry of the  period. No other discounts or offers can be clubbed with this offer. Existing subscribers to the Skillbez India Pvt Ltd (Website Developer) Subscription are not eligible to avail the scholarship and no requests for adjustments or refunds shall be entertained. A participant can avail of a scholarship only once. Scholarships cannot be exchanged, sold, assigned or converted to value. At its sole discretion Skillbez India Pvt Ltd may change prizes at any time.
          14. A learner who wins a scholarship and elects or fails to utilise the scholarship code, shall no longer be eligible to get any further scholarship codes and all scholarships already granted shall also lapse. However, such learners may continue to participate as many times they wish. This is done to enable other learners who may need scholarship support.
          15. Lucky Draw: Participants who do not qualify for the scholarship and do not have any active subscription with Skillbez India Pvt Ltd shall be eligible for the Surprise Lucky Draw Contest. Lucky Draw winners will be selected via random selection and the same will be communicated to the Participant via email/call within 7 days of completion of the Test. The Lucky Draw winners shall get a gift which shall be decided at the sole discretion of Skillbez India Pvt Ltd and the term mentioned herein shall be applicable to the Lucky Draw, its winners and gift. At its sole discretion Skillbez India Pvt Ltd may change prizes at any time.
          16. Skillbez India Pvt Ltd Notes : Existing subscribers to the Skillbez India Pvt Ltd (Website Developer) Subscription are not eligible to avail the Skillbez India Pvt Ltd Notes as reward from Combat and no requests for adjustments or refunds shall be entertained. Only learners who purchase the Skillbez India Pvt Ltd (Website Developer) Subscription using scholarship code from Combat will be eligible for Skillbez India Pvt Ltd Notes. At its sole discretion Skillbez India Pvt Ltd may change prizes at any time.
          17. Skillbez India Pvt Ltd shall be entitled to conduct such audits/evaluation as it deems fit, during or after the Contest(s), to determine if Participants have conducted themselves in accordance with these Terms and Conditions.
          18. If at any point it is discovered that a Participant has engaged in unethical conduct including but not limited to having prior access to the questions in the Contest(s), use of any circumventing technology/means to manipulate the product algorithm or external assistance or any act giving the Participant an unjust or unwarranted advantage over other Participants, Skillbez India Pvt Ltd may at its sole discretion, without being liable in any manner, cancel any prize or reward and bar the Participant from using any product or services offered by Skillbez India Pvt Ltd.
          19. All prizes and rewards are subject to Participants adhering to the Terms and Conditions of the Contest(s) and the terms and conditions of use of the Skillbez India Pvt Ltd website.
          20. Skillbez India Pvt Ltd has endeavoured to make all reasonably practicable arrangements to minimise communication system difficulties but makes no guarantee and therefore shall not be liable for any failures in the same or any inability to participate in the Contest(s). Skillbez India Pvt Ltd has no liability in case a Participant is unable to participate on account of his/her inability to access the Contest(s) or the website or for any other reason whatsoever.
          21. Any Participant found using or participating in the Contest(s) through multiple accounts shall be immediately disqualified; shall not be eligible for any prizes and shall be barred from participating in any future Contest(s) at the sole discretion of Skillbez India Pvt Ltd.
          22. This Contest(s) is open for participation of individuals only. Corporates, agencies and any non-human entities or any other persons acting on behalf of someone else are not entitled to participate in this Contest(s). Skillbez India Pvt Ltd employees and educators or their family members are not eligible to participate in the Contest(s). Participants must voluntarily participate in good faith in order to evaluate their own preparation.
          23. Skillbez India Pvt Ltd shall have the unfettered right to use the name, image, or visual representation, comment, or statement of the prize winners for promotional, marketing, and advertising purposes in any media or format or for any other objective, as deemed appropriate by Skillbez India Pvt Ltd. By participating in the Contest(s) participants are consenting to such use.
          24. A Participant taking part in the Contest(s) and declared to be a top ranker but is unable to fulfil any one or more eligibility requirements specified herein as on the date of closure of Contest(s), shall be disqualified from receiving any prize under the Contest(s). Any communication, clarification, query or dispute in this regard by the top ranker, or any of the legal heirs/guardians of the top ranker in any manner will not be entertained by Skillbez India Pvt Ltd and Skillbez India Pvt Ltd’s decision shall be final and binding. Contest(s) are run at the sole discretion of Skillbez India Pvt Ltd.
          25. Top rankers will be contacted by the Skillbez India Pvt Ltd team within a specified period from the conclusion of the Contest(s). In the event of no response/acknowledgment from the concerned top ranker to the email communication within specified period, the prize will be forfeited. Collection of Prize shall be subject to:
            1. Receipt of a confirmation response from toppers within within specified period  of communication from the Skillbez India Pvt Ltd team
            2. Verification of ID
            3. Provision of correct and authentic details (address, phone number)
          26. Prize/s shall be chosen/decided by Skillbez India Pvt Ltd and shall be subject to the laws of India, including all the tax laws. If applicable, 
          27. Skillbez India Pvt Ltd shall not be responsible for any loss or damage of the prizes during dispatch or during delivery. Skillbez India Pvt Ltd will not be responsible for paying any other tax, fee, etc. on the prizes.
          28. Skillbez India Pvt Ltd shall not be responsible in any manner for any deficiency in performance or characteristics of the prizes and does not make a representation about the quality, make, performance, features, endurance, finishing, benefits, or fitness of the prizes. Such claims must be made against manufacturers or respective service providers.
          29. The prizes are non-endorsable, not-transferable, non-exchangeable, non-substitutable and cannot be exchanged for cash for cash equivalent. The prizes are offered on a 'NO EXCHANGE NO REFUND' basis. Apart from the entitlement to the prize/s, the top rankers will have no other rights or claims against Skillbez India Pvt Ltd.
          30. Skillbez India Pvt Ltd reserves the right to modify, add or delete any of the terms and conditions at any point of time at its sole discretion without serving any prior intimation. Intimation of any change, modification, addition, deletion in the terms and conditions of the Contest(s) will be updated on this page.
          31. Any disputes with respect to the Contest(s) shall be subject to the sole jurisdiction of courts in Gujarat, India.
          32. By taking part in the Contest(s) Participant(s) indemnify Skillbez India Pvt Ltd against any claims from any party and consequent losses, damages, compensation, whatsoever, that may arise from any use, including but not limited to, the publication of response (s) submitted by the Participant as a part of, or in association with the Contest(s).
          33. Skillbez India Pvt Ltd shall not be liable for any failure to comply with its obligations caused by weather conditions, fire, flood, strike, hurricane, industrial dispute, war, hostilities, terrorist attack, political unrest, riots, civil commotion, inevitable accidents, acts of God or any other circumstances generally amounting to Force Majeure.
          34. Skillbez India Pvt Ltd shall not be responsible for any loss or damage or claims if it discontinues or cancels the Contest(s) for any reason that it deems fit. In such an event, participants shall be informed of discontinuance/cancellation as soon as possible.
          35. Skillbez India Pvt Ltd shall not be liable to any Participant for any damage, loss, cost, claim, liability, or expense (including legal costs and expenses) caused to or incurred by any act, omission, or representation in respect of the prize or Contest(s). Liability, if any, shall be limited to the value of the prize and no other amount. Participation in the Contest(s) is purely voluntary.

            Welcome to the terms of use for Skillbez India Pvt. Ltd. Live Mentorship. These terms are between you and (Website Developer) (“Skillbez India Pvt. Ltd.”, “we” or “us”). Please read these terms, along with the Privacy Policy, Terms of Use, and all other rules and policies made available or published on Skillbez India Pvt. Ltd. platform or mobile application (including, but not limited to, any rules or usage provisions specified on any page or on any help or other informational page on Skillbez India Pvt. Ltd. website or mobile application) (collectively, this “Agreement”). The versions of the above-mentioned policies and terms are available on Skillbez India Pvt. Ltd. website and/or mobile application for your reference and to understand how we handle your personal information. Every time you visit, browse, or use your Skillbez India Pvt. Ltd. Subscription, you accept this Agreement.



            A. Subscription & Eligibility

            Skillbez India Pvt. Ltd. Live Mentorship (the “Live Mentorship Service”) is a personalised service that offers live mentorship services to Learners with  Subscription through which the  Learners can book an audio session with mentors for doubts clearing, strategy and study plan or for concept clarity. You will be given access to the Live Mentorship Service, through the Skillbez India Pvt. Ltd. website or Skillbez India Pvt. Ltd. mobile application (as applicable) by taking  Subscription to any category of your choice from the available  subscription plans (“Subscription”). Depending on the duration of your  subscription you shall be allotted live mentorship sessions that you can book with the mentors for doubts clearing, strategy and study plan or for concept clarity during your  Subscription Period. If you are under 18 years of age, or the age of majority in your location, you may use these Live Mentorship Services only with involvement of a parent or guardian.



            B. Compatible Devices

            In order to avail the Live Mentorship Service, you will need to use a personal computer, portable media player, or other device that meets the system and compatibility requirements (a “Compatible Device”). The Compatible Devices may change from time to time and, in some cases, whether a device is (or remains) a Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties. Accordingly, devices that are Compatible Devices at one time may cease to be Compatible Devices in the future. Thus, kindly make sure that the device that you use is compatible with our system/software to avail the Live Mentorship Service.



            C. Live Mentorship Services

            1. The Live Mentorship Service allows you to book mentorship sessions with the mentors for doubts clearing, strategy and study plan or for concept clarity that will help you in your preparation, for a limited period of time during the  Subscription Period.
            2. Usage Rules: Depending on your  Subscription duration you shall be allotted a certain number of Live Mentorship sessions that you book before the expiry of your  Subscription. If due to any reason you have not been able to utilize all your allotted Live Mentorship Session then the same shall lapse on expiry of your  Subscription. The following are restrictions on Skillbez India Pvt. Ltd. Live Mentorship:
              1. Live Mentorship session: A live mentorship session with the mentor shall be for a period as per the sole discretion of the mentor and shall be recorded for future revision. You can use the live mentorship session for doubts clearing, strategy and study plan or for concept clarity. The session will be an audio session with a white board which the mentor may use for explaining the concept, doubt or strategy.
              2. Downloading: You shall only have the option to do in-app download, if applicable, and the downloaded live mentorship session can be viewed by you during your  Subscription Period in your compatible devices. After downloading the live mentorship session, you shall have access to the same for the  Subscription Period only and all access to the downloaded sessions shall be removed on expiry or termination of your  Subscription, as the case maybe.
              3. Viewing Period: You can watch and re-watch the live mentorship session later during your  Subscription Period, by in-app downloading (if applicable) or streaming it, as often as you want and as long as you want provided that you have an active  subscription and the viewing is within the  Subscription Period or for a period of time as provided in this Agreement.
            3. Booking of Live Mentorship Session: You can book a live mentorship session by selecting the time and date on the booking page. If it is your first booking then the system will auto-assign a mentor to you. However, for all your subsequent bookings you shall have the option to choose from the mentors with whom you have already attended a live mentorship session or you can let the system auto-assign a mentor for you.
            4. Cancellation of Live Mentorship Session: If you have booked a session but due to some unforeseeable reason have to cancel the live mentorship session that was booked by you, you can send a cancellation request as decided by the company.
            5. No Show for Live Mentorship Session: Mentor shall wait for period as per his/her convenience after starting the call if you do not show up within the said time, it will be considered as no show on your part and the session shall be considered as availed by you and deducted from you allotted live sessions. However, if the mentor fails to join the session then you can cancel the session and the same shall be credited back into your account and you can rebook a fresh session with the same mentor or with any other mentor, in accordance with the terms of this Agreement.
            6. Re-credit of the session: There shall be no re-credit of the session in case of your last-minute cancellation, no show or any network or any other issue at your end. The sole remedy for cancellation, no-show or technical issues at our end or at the mentor’s end would be crediting the session back to your account. Your Live mentorship sessions shall lapse on expiry of your  Subscription and there shall be no carry forward in case you renew your  Subscription.
            7. Recharge of Live Mentorship Services & Payment: If applicable, you may recharge your live mentorship session in accordance with the plans by clicking the option of your choice and making the required payment for the live mentorship session recharge plan of your choice to continue availing the Live Mentorship Service.
            8. Limited License to Live Mentorship Sessions: Subject to payment of the  Subscription fee or fee for recharge of your live mentorship session, if applicable, and your compliance with all terms of this Agreement, Skillbez India Pvt. Ltd. grants you a non-exclusive, non-transferable, non-sublicensable, limited license, during the term of your  Subscription Period, to access and view and book live mentorship sessions in accordance with the terms of this Agreement, for personal, non-commercial, private use only. We may automatically remove your access to the Live Mentorship Service from your Compatible Device after the end of the  Subscription Period or in accordance with any restriction mentioned in this Agreement.
            9. Availability of Live Mentorship Service: Live Mentorship Service will generally continue to be available to you until you completely consume the allotted live mentorship sessions to you during your  Subscription Period. You may download and store your own copy of the Live mentorship session on a Compatible Device authorised for such in app download so that you can view that live mentorship session but the access to such in-app downloaded live mentorship session shall be removed on expiry of your  Subscription Period or termination of your  Subscription in accordance with the terms of this Agreement.
            10. Quality of Streaming: The resolution and quality of the live mentorship sessions will depend on a number of factors, including the type of Compatible Device on which you are availing the live mentorship services and your bandwidth. While we strive to provide you a high-quality experience, we make no guarantee as to the resolution or quality of the live mentorship sessions when streaming.
            11. Conduct during Live Mentorship session: You shall conduct yourself in a professional and respectful manner. You shall use the Live Mentorship services only for the purpose for which it is being provided and your conduct shall be in accordance with all the terms and conditions and policies mentioned on the Skillbez India Pvt. Ltd. Platform, including but not limited to User guidelines, Skillbez India Pvt. Ltd. online terms and conditions. Violation of any of our terms and conditions, policies and guidelines may result in suspense, termination of your account and also, we reserve the right to initiate any action against you that we deem fit.
            12. General Restrictions: You may not (i) transfer, copy or display the live mentorship session, except as permitted in this Agreement; (ii) sell, rent, lease, distribute, or broadcast any right to the live mentorship session; (iii) remove any proprietary notices or labels on the live mentorship sessions; (iv) attempt to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or other content protection system used as part of the Subscription; or (v) use the  Subscription for any commercial or illegal purpose.



            D. Additional Terms

            1. Communications: We may send you promotions or otherwise communicate with you electronically, which may include email, push notification, and you hereby consent to receive those communications. These communications will be in accordance with the Skillbez India Pvt. Ltd. Privacy Policy.
            2. Modification of Live Monitoring Services: Skillbez India Pvt. Ltd. reserves the right to modify, suspend, or discontinue the Live Mentorship Service, or any part of the Live Mentorship Service, at any time and without notice (except as required by applicable law), and Skillbez India Pvt. Ltd. will not be liable to you should it exercise such rights.
            3. Amendments: Skillbez India Pvt. Ltd. reserves the right to make changes to this Agreement at any time by posting the revised terms in connection with the Live Mentorship Service. To the maximum extent permitted by law, your continued use of the Live Mentorship Service following any changes will constitute your acceptance of such changes.
            4. Reservation of Rights; Waiver: The Live Mentorship Service embodies intellectual property that is protected by law. Copyright owners of live mentorship service, i.e. mentors, are intended third-party beneficiaries under the Agreement. Our failure to insist upon or enforce your strict compliance with the Agreement will not constitute a waiver of any of our rights.
            5. Disputes/Conditions of Use: Any dispute or claim arising from or relating to this Agreement or the Live Mentorship Service is subject to the governing law, disclaimer of warranties and limitation of liability, any binding arbitration, and all other terms in the Skillbez India Pvt. Ltd. Terms of Use. You agree to those terms by using the Live Mentorship Service.
            6. Limitation of Liability: Without limiting the disclaimer of warranties and limitation of liability in the Skillbez India Pvt. Ltd. Terms of Use, in no event shall Skillbez India Pvt. Ltd. be liability to you for all damages arising out of or related to your use or inability to use the Live Mentorship Service; The limitations in this section will apply to you even if the remedies fail of their essential purpose.
